Terms of Service

3.1 Account Creation

To access certain features of our Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Choose a strong password and keep it confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

3.2 Account Types

Users can register as either:

• Agent Account: For individual sales professionals seeking opportunities
• Company Account: For companies and organizations creating opportunity listings

You may only create one account per email address. Creating multiple accounts or misrepresenting your account type is prohibited.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time if:

• You violate these Terms
• You provide false or misleading information
• Your account is involved in fraudulent or illegal activity
• Your account has been inactive for an extended period

4.1 Prohibited Activities

You agree NOT to:

• Post false, misleading, or fraudulent listings or applications
• Harass, threaten, or discriminate against other users
• Use the Platform for any illegal purpose
• Attempt to circumvent our subscription or payment systems
• Scrape, copy, or collect user data without authorization
• Upload viruses, malware, or harmful code
• Impersonate another person or entity
• Spam or send unsolicited communications
• Interfere with the security or operation of the Platform
• Use automated systems (bots, scrapers) without permission

4.2 Content Standards

All content you post must:

• Be accurate and truthful
• Not violate any laws or regulations
• Not infringe on intellectual property rights
• Not contain offensive, discriminatory, or inappropriate material
• Comply with all applicable employment and labor laws

5.1 Profile and Applications

• You are responsible for maintaining an accurate and professional profile
• You must have the necessary qualifications, licenses, and certifications for positions you apply to
• You acknowledge that companies may view your profile and application history
• Withdrawn applications cannot be resubmitted unless the listing is reposted

5.2 Communications

When communicating with companies through our Platform:

• Maintain professional and respectful communication
• Do not share personal contact information in initial messages (use our messaging system)
• Respond promptly to company inquiries
• Report any inappropriate behavior or communication

5.3 Free Service for Agents

Access to our Platform for agents is currently free of charge. We reserve the right to introduce paid features or subscriptions for agents in the future with advance notice.

6.1 Opportunity Listings

When creating opportunity listings, you agree to:

• Post only legitimate business opportunities from your organization
• Provide accurate descriptions, requirements, and compensation information
• Comply with all applicable employment laws and anti-discrimination regulations
• Not collect unnecessary personal information from applicants
• Handle applicant data responsibly and in compliance with data protection laws

6.2 Listing Duration and Management

• Listings remain active as long as your subscription is active
• Free trial listings expire when the 30-day trial period ends
• Paid subscription listings stay active while your subscription is active
• When a subscription expires, all associated listings are automatically closed
• You can publish or unpublish listings at any time
• You are responsible for closing listings that are no longer available

6.3 Application Management

You agree to:

• Review applications in a timely manner
• Update application statuses appropriately (under review, shortlisted, rejected, selected)
• Communicate professionally with all applicants
• Not discriminate based on protected characteristics
• Respect agent privacy and data rights

7.1 Subscription Plans

We offer the following subscription plans for companies:

7.2 Billing and Payments

• Subscriptions are available for 1, 3, or 6-month periods
• Upon selecting a plan and duration, you will receive a proforma invoice via email
• Payment is made via bank wire transfer (RSD for companies in Serbia, EUR for all others)
• Your subscription is activated once payment is confirmed by our team
• A final invoice is issued and sent to your email upon payment confirmation
• Repsalio does not store or process credit card or banking credentials

7.3 Plan Changes and Cancellation

• Upgrades: You may upgrade your plan at any time by requesting a new proforma invoice for the upgraded plan
• Cancellation: You may cancel anytime; access continues until the end of your paid subscription period
• Renewal: Subscriptions do not renew automatically. To continue your subscription, request a new proforma invoice before your current period ends
• Upon expiration, your account reverts to the Free plan

7.4 Refund Policy

• Before Activation: If your subscription has not yet been activated, you may cancel the proforma invoice at no cost
• After Activation: Refund requests are handled on a case-by-case basis
• Cancelled Subscriptions: If you cancel your subscription, you retain access until the end of your paid period; partial refunds are not provided for the remaining time

7.5 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your current billing cycle but will apply to subsequent renewals. We will provide at least 30 days' notice of any price increases.

8.1 Platform Ownership

The Platform, including all software, designs, text, graphics, logos, and other content (excluding user-generated content), is owned by Repsalio and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose.

8.2 User Content

You retain ownership of all content you submit to the Platform (profiles, opportunity listings, applications, messages). However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of operating and improving our Platform.

8.3 Restrictions

You may not:

• Copy, modify, or create derivative works of the Platform
• Reverse engineer or decompile any aspect of the Platform
• Remove or alter any proprietary notices
• Use our trademarks or branding without permission

9.1 Data Processing Agreement (DPA)

For the purposes of the General Data Protection Regulation (GDPR):

• Repsalio as Data Controller: We act as the data controller for account registration data, platform usage analytics, marketing communications, and general platform operations.
• Repsalio as Data Processor: We act as a data processor for opportunity listings, applications, agent profiles, and messages created by Companies. In these cases, Companies are the data controllers for the applicant and agent data they receive through our Platform.

Companies creating listings on Repsalio act as Data Controllers for applicant data they receive. By using our Platform, you agree that these Terms of Service and our Privacy Policy together constitute a Data Processing Agreement (DPA) in accordance with GDPR Article 28.

10.1 "As-Is" Service

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Platform will be uninterrupted, secure, or error-free
• The results obtained from using the Platform will be accurate or reliable
• Any errors or defects will be corrected
• The Platform will meet your specific requirements

10.2 Third-Party Relationships

We are not responsible for:

• The conduct, qualifications, or performance of any users
• Any business relationships formed through the Platform
• The accuracy of listings or user profiles
• Disputes between companies and agents
• Any damages arising from interactions between users

You acknowledge that you use the Platform and its software tools at your own risk. We strongly encourage you to exercise caution and perform due diligence when engaging with other users.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPSALIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.

Our total liability to you for all claims arising from or related to the Platform shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 if you have not made any payments.

10.4 Indemnification

You agree to indemnify, defend, and hold harmless Repsalio and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another user or third party
• Your content or conduct on the Platform

11.1 Informal Resolution

If you have any dispute with us, please contact us first at office@repsalio.com to attempt to resolve the issue informally. We will make good faith efforts to resolve disputes amicably.

11.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Serbia, without regard to its conflict of law provisions.

11.3 Jurisdiction

You agree that any legal action or proceeding arising from or related to these Terms or your use of the Platform shall be brought exclusively in the Commercial Court in Novi Sad (Privredni sud u Novom Sadu), Republic of Serbia, and you consent to the personal jurisdiction of such court.

11.4 EU Users

If you are a consumer resident in the European Union, you benefit from mandatory consumer protection provisions under the law of the country in which you reside. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions.

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Repsalio regarding your use of the Platform and supersede any prior agreements.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be replaced with a valid provision that most closely matches the intent of the original.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Repsalio.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, government actions, or failures of third-party service providers.

13.6 Survival

Sections that by their nature should survive termination of these Terms (including but not limited to disclaimers, limitations of liability, indemnification, and dispute resolution) shall survive any termination or expiration of these Terms.
